Article 1 - Definitions

In these terms and conditions, the following definitions apply:

  • Entrepreneur: The legal entity offering products and/or services remotely to businesses (Euro Koffie B.V.).

  • Buyer: The counterparty of the entrepreneur, acting in the course of a profession or business.

  • Agreement: The agreement between the entrepreneur and the buyer.

  • Products: All goods offered by the entrepreneur to the buyer, such as coffee and related products.

Article 3 - Applicability

  • These general terms and conditions apply to all quotations, offers, agreements, and deliveries of Euro Koffie B.V. to business customers (B2B).

  • Any purchase or other conditions of the buyer are expressly rejected unless agreed upon in writing.

  • Deviations from these general terms and conditions are only valid if agreed upon in writing.

Article 4 - The Offer

  • All offers and quotations from Euro Koffie B.V. are non-binding and may be withdrawn at any time.

  • Errors or mistakes in the offer do not bind the entrepreneur.

  • The offer includes a complete and accurate description of the products and/or services offered.

Article 5 - The Agreement

  • The agreement is concluded when the buyer places an order and Euro Koffie B.V. accepts it.

  • Euro Koffie B.V. reserves the right to refuse orders without stating reasons or to impose additional conditions on delivery.

Article 6 - Right of Withdrawal and Cancellation

  • Since the buyer is acting in the course of a profession or business, no statutory right of withdrawal applies.

  • Cancellation of orders by the buyer is only possible if explicitly agreed upon in writing with Euro Koffie B.V. Cancellation costs may apply.

Article 7 - The Price

  • All prices are exclusive of VAT and other government-imposed levies unless stated otherwise.

  • Any transport, packaging, or administrative costs are charged separately unless agreed otherwise.

  • Euro Koffie B.V. reserves the right to change prices; however, price changes do not affect confirmed orders.

Article 8 - Conformity and Warranty

  • The entrepreneur guarantees that the products comply with the agreement, the specifications stated in the offer, and the legal requirements applicable to business transactions.

  • Complaints regarding defects in the products must be reported in writing or by phone to Euro Koffie B.V. within five working days of receipt.

  • Warranty is only provided if explicitly agreed upon in writing.

Article 9 - Delivery and Execution

  • Euro Koffie B.V. will exercise the utmost care in receiving and executing orders.

  • Delivery takes place at the address specified by the buyer.

  • If delivery is delayed, Euro Koffie B.V. will inform the buyer as soon as possible. In such cases, the buyer is not entitled to compensation.

Article 10 - Duration Transactions: Duration, Termination, and Renewal

  • The buyer may terminate an agreement entered into for an indefinite period with a notice period of at least one month.

  • Euro Koffie B.V. may terminate an agreement with a notice period of at least one month unless otherwise agreed in writing.

Article 11 - Payment

  • Payment must be made within the term stated on the invoice unless agreed otherwise in writing.

  • If the payment term is exceeded, the buyer is in default by operation of law and statutory commercial interest is due.

  • All (extrajudicial) collection costs are borne by the buyer.

Article 12 - Complaints Procedure

  • Complaints about the execution of the agreement must be submitted in writing to Euro Koffie B.V. within a reasonable time, fully and clearly described.

  • Euro Koffie B.V. will process complaints as soon as possible but no later than 14 days. If a complaint requires a foreseeably longer processing time, Euro Koffie B.V. will provide an estimated handling time within 14 days.

Article 13 - Disputes

  • Dutch law exclusively applies to agreements between Euro Koffie B.V. and the buyer.

  • Disputes between parties will be submitted to the competent court in the district where Euro Koffie B.V. is established.

Article 14 - Additional or Deviating Provisions

  • Additional or deviating provisions from these general terms and conditions can only be agreed upon in writing and must not be disadvantageous to the buyer.
